Terms of Service

1. What this is

Pay To Stay (“the Site,” “we,” “us”) operates a single display space (“the Space”). Anyone may pay to place an image and a short caption or link on the Space. Any other person may then pay at least 25% more than the current price to replace that content with their own. The Space automatically resets to a $1.00 starting price on a fixed date each month, and whoever is holding the Space at that moment is permanently recorded, together with their image, on the public Hall of Fame page. By using the Site in any way — viewing it, uploading an image, paying to hold the Space — you agree to these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding contract to use this Site. By paying to hold the Space, you represent that you meet this requirement. We do not knowingly allow anyone under 18 to submit content or make a payment, and we may remove any content or terminate any access where we reasonably believe this requirement was not met.

3. No accounts, minimal information

The Site does not require you to register an account. To hold the Space you must supply a valid email address, which is used solely to notify you if you are outbid and for operational messages about your submission. See our Privacy Policy for how this information is handled.

4. Payment, pricing, and the 25% rule

• The Space starts, and restarts each month, at $1.00.
• To take the Space from its current holder, you must pay an amount equal to or greater than the current price multiplied by 1.25, rounded to the nearest cent. The Site calculates and enforces this minimum; it is not negotiable and cannot be waived for any individual.
• The amount you pay is the new displayed price. You may pay more than the required minimum; doing so raises the amount a future buyer must beat.
• Payment is processed by a third-party payment processor. We do not store your full payment card details on our servers.
• You are solely responsible for any fees your bank, card issuer, or payment provider charges you in connection with a payment.

5. All payments are final — no refunds, no exceptions

Every payment made on this Site is final and non-refundable. This is a core, disclosed feature of the Site’s design, not an oversight. By paying, you explicitly acknowledge and accept that you will not receive a refund, in part or in full, under any of the following circumstances, or any other circumstance:

• Another person pays the required amount and replaces your content, at any time, including seconds after your payment clears.
• Your content is removed for violating Section 7 (Prohibited Content) or any other provision of these Terms, whether removed before or after being displayed.
• The Space reaches its scheduled monthly reset while you are the holder, regardless of how long you held it before the reset.
• The Site experiences downtime, a technical failure, or discontinues operating entirely.
• You made an error in your submission, changed your mind, or are dissatisfied with the outcome for any other reason.

You confirm this understanding by checking the acknowledgment box before every payment. Initiating a chargeback or payment dispute for a completed transaction that functioned as described in these Terms is a breach of this agreement. We reserve the right to contest any such dispute with the payment processor or card network, to bar the associated email address, payment method, or person from future use of the Site, and to pursue any other remedy available to us.

6. Your content: ownership, license, and your responsibility for it

You retain ownership of any image, text, or link you submit (“Your Content”). By submitting it, you grant the Site a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, reproduce, and distribute Your Content on the Site for as long as it holds the Space, and — if you are the holder at a monthly reset — permanently and indefinitely as part of the public Hall of Fame archive. You also grant us the right to use a reasonable, low-resolution reproduction of Your Content in the Site’s own marketing and social media posts (for example, a video showing the Space’s price history), without additional compensation to you.

By submitting Your Content, you represent and warrant that:

• You own it, or you have every right and permission necessary to submit it and to grant the license above;
• If it depicts an identifiable real person (including yourself), you have that person’s informed consent to display their likeness publicly on this Site, permanently if it wins the Hall of Fame, and for the promotional use described above;
• It does not infringe any copyright, trademark, right of publicity, or other right of any third party;
• It complies with Section 7 below.

You agree to indemnify and hold the Site, its operator, and its affiliates harmless from any claim, damage, loss, or expense (including reasonable legal fees) arising from Your Content or from your breach of the warranties above.

7. Prohibited content

You may not submit content that:

• Depicts, sexualizes, or endangers a minor in any way — this is reported to the National Center for Missing & Exploited Children and/or law enforcement immediately and without exception, and no refund of any kind applies;
• Is sexually explicit, pornographic, or nudity of any person;
• Depicts real graphic violence, gore, or death;
• Uses the likeness, name, or identifying image of a real person who has not consented to appear here, including an ex-partner, private individual, or public figure used in a false or defamatory context;
• Contains hate speech, or symbols, language, or imagery that attacks a person or group based on race, ethnicity, religion, national origin, gender, sexual orientation, disability, or similar protected characteristic;
• Harasses, bullies, threatens, or doxxes (publishes private information about) any person;
• Infringes a copyright or trademark you do not own or have permission to use;
• Impersonates a real person, brand, or organization in a misleading way;
• Promotes a scam, phishing attempt, malware, or a fraudulent financial scheme;
• Advertises illegal goods or services, or promotes illegal activity;
• Relates to a political candidate, election, ballot measure, or referendum;
• Is otherwise unlawful where you or we operate.

Every submitted image is checked before it can be paid for and displayed. This check may be automated, and automated checks are not perfect in either direction — content that should be blocked may occasionally be missed. See Section 8 for how to report content that gets through.

8. Reporting content, and our moderation rights

Every displayed image, and every image in the Hall of Fame archive, has a report option. We investigate reports in good faith and aim to act on legitimate reports promptly, but we do not guarantee a specific response time. We may remove any content, reject any submission, or bar any person or email address from the Site at our sole discretion, with or without notice, and with or without stating a reason. Removal of your content under this section does not entitle you to a refund (Section 5).

9. Copyright and DMCA

10. The Site’s own intellectual property

The Pay To Stay name, logo, design, and underlying software are owned by Ben Nasan, sole proprietor, operating as Pay To Stay, and may not be copied, reproduced, or used without our prior written permission. This does not apply to Your Content, which remains yours as described in Section 6.

11. No warranty

The Site is provided “as is” and “as available,” without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any particular price, holder, or Hall of Fame record will be preserved without error.

12. Limitation of liability

To the fullest extent permitted by law, the Site, its operator, and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Site. To the fullest extent permitted by law, our total liability to you for any claim arising from these Terms or the Site will not exceed the greater of (a) the amount you paid to the Site in the 3 months before the claim arose, or (b) $100.

13. Indemnification

In addition to Section 6, you agree to indemnify, defend, and hold harmless the Site, its operator, and its affiliates from any claim or demand, including reasonable attorneys’ fees, made by any third party arising from your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination (including Sections 5, 6, 9, 12, and 13) will survive.

15. Changes to these Terms

We may update these Terms at any time by posting a revised version with a new “Last updated” date. Continued use of the Site after a change is posted means you accept the revised Terms.

16. Governing law

These Terms are governed by the laws of Israel, without regard to its conflict of law principles. Any dispute arising from these Terms or the Site will be resolved in the courts located in Israel, and you consent to that jurisdiction and venue.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms are the entire agreement between you and us regarding the Site.
